Y1. Introduction

Welcome to Beyond Zenith ("Company", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of our website at beyondzenith.tech and all AI-powered services, products, and solutions offered by Beyond Zenith, including but not limited to AI automation services, AI consultancy, business-to-business (B2B) SaaS applications, Instagram bots, WhatsApp receptionists, and appointment booking systems (collectively, the "Services").

By accessing or using our Services, you agree to be legally bound by these Terms. If you do not agree, please discontinue use immediately.

2. Eligibility

Our Services are available to individuals and businesses worldwide. By agreeing to these Terms, you represent and warrant that:

•       You are at least 18 years of age, or the age of legal majority in your jurisdiction, whichever is greater.

•       If entering into these Terms on behalf of a business or organisation, you have the legal authority to bind that entity.

•       Your use of the Services does not violate any applicable laws or regulations in your jurisdiction.

•       You are not located in a jurisdiction where the use of our Services is prohibited by law.

3. Description of Services

Beyond Zenith provides a range of AI-powered services to businesses, including:

•       AI Automation Services — designing and deploying automated workflows powered by artificial intelligence.

•       AI Consultancy — strategic guidance on integrating AI into business operations.

•       B2B SaaS Applications — software-as-a-service products built for business clients.

•       Instagram Bots — automated engagement tools for Instagram business accounts.

•       WhatsApp Receptionists — AI-driven conversational agents for WhatsApp-based customer engagement.

•       Appointment Booking Systems — automated scheduling and booking solutions.

•       Any other AI-related products or services as offered from time to time.

We reserve the right to modify, suspend, or discontinue any Service at any time without prior notice.

4. Use of Third-Party AI Tools and Platforms

To deliver our Services, Beyond Zenith uses third-party tools and platforms, including but not limited to:

•       GoHighLevel (GHL) — for CRM, marketing automation, and workflow management.

•       Make.com — for integration and automation workflows.

•       ClawdBot / NanoBot / OpenClaw — for AI agent development and deployment.

By using our Services, you acknowledge and agree that:

•       Portions of the Services are dependent on these third-party platforms, and their availability is subject to their respective terms of service.

•       Beyond Zenith is not liable for any downtime, errors, data loss, or failures caused by third-party platforms.

•       AI-generated outputs produced using these tools may not always be accurate, complete, or error-free. Beyond Zenith does not warrant the accuracy of AI-generated content.

5. Payment Terms

5.1 Pricing and Billing

Beyond Zenith offers flexible pricing structures based on client requirements, including:

•       One-time project fees

. Making Charges/setting up cost

•       Monthly retainers

•       Per-project pricing

•       6-month packages

•       Annual (yearly) packages

Specific pricing, scope, and deliverables for each engagement will be outlined in a separate Service Agreement, Proposal, or Statement of Work ("SOW") agreed upon between Beyond Zenith and the Client.

5.2 Payment Obligations

All payments are due as specified in the applicable SOW or invoice. Failure to pay within the agreed timeframe may result in suspension or termination of Services. Beyond Zenith reserves the right to charge interest on overdue payments at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

5.3 No Refund Policy

ALL PAYMENTS MADE TO BEYOND ZENITH ARE STRICTLY NON-REFUNDABLE. Once payment is made and Services have commenced, no refunds will be issued under any circumstances, including but not limited to:

•       Dissatisfaction with AI-generated outputs.

•       Change of mind or business direction.

•       Failure to utilise the Services during the subscription or project period.

•       Termination of the engagement by the Client.

5.4 Taxes

All fees are exclusive of applicable taxes, including Goods and Services Tax (GST) where applicable under Indian law. Clients are responsible for any taxes applicable to their purchase.

6. Intellectual Property

6.1 Beyond Zenith's Proprietary Rights

All methodologies, frameworks, processes, templates, tools, source code, automation workflows, and systems developed by Beyond Zenith — whether created before or during a client engagement — remain the exclusive intellectual property of Beyond Zenith. This includes any proprietary AI models, bots, or automations developed by us.

The delivery of a project or Service to a Client does not constitute a transfer of ownership of Beyond Zenith's underlying intellectual property, tools, or frameworks, unless explicitly agreed to in writing in a separate Intellectual Property Assignment Agreement.

6.2 Client Ownership of Deliverables

Upon receipt of full payment, the Client shall own the specific deliverables outlined in the applicable SOW — such as custom-built bots, configured automation workflows, or application features — to the extent that such deliverables do not incorporate Beyond Zenith's proprietary frameworks or reusable components.

6.3 AI-Generated Outputs

All AI-generated content, outputs, and results produced through Beyond Zenith's Services are delivered exclusively to and owned by the Client. Beyond Zenith does not claim ownership over AI outputs generated specifically for a client's use case. However, Beyond Zenith retains the right to use aggregated, anonymised learnings from client projects to improve its own services.

6.4 Client Content

Clients retain full ownership of all data, content, and materials they provide to Beyond Zenith for the purpose of delivering Services. By providing such materials, you grant Beyond Zenith a limited, non-exclusive licence to use your content solely for the purpose of delivering the agreed Services.

6.5 No Resale Without Consent

Clients may not resell, sublicence, redistribute, or white-label any deliverables, tools, or systems created by Beyond Zenith without prior written consent from Beyond Zenith.

7. Client Responsibilities and Acceptable Use

By using our Services, you agree to:

•       Provide accurate, complete, and up-to-date information required for service delivery.

•       Use the Services only for lawful purposes and in compliance with all applicable laws and regulations.

•       Not use our Services to engage in spam, phishing, fraud, harassment, or any illegal activity.

•       Not attempt to reverse engineer, copy, or reproduce Beyond Zenith's proprietary tools, frameworks, or systems.

•       Ensure that your use of AI-powered tools (e.g., Instagram bots, WhatsApp automations) complies with the terms of service of the respective platforms (Meta, WhatsApp, etc.).

•       Not use AI outputs in a manner that is misleading, defamatory, discriminatory, or harmful to third parties.

•       Maintain the confidentiality of any login credentials, API keys, or access tokens provided in connection with the Services.

Beyond Zenith reserves the right to immediately suspend or terminate Services if a Client is found to be in violation of these acceptable use obligations.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. BEYOND ZENITH EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

•       Warranties of merchantability, fitness for a particular purpose, or non-infringement.

•       Warranties that the Services will be uninterrupted, error-free, or free from harmful components.

•       Warranties regarding the accuracy, reliability, or completeness of AI-generated outputs.

•       Warranties that results achieved through our Services will meet the Client's specific business objectives.

AI-generated content is probabilistic in nature and may contain errors, inaccuracies, or unintended outputs. Clients are advised to review all AI-generated outputs before acting upon them.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BEYOND ZENITH AND ITS PROPRIETOR, EMPLOYEES, AGENTS, AND CONTRACTORS SHALL NOT BE LIABLE FOR:

•       Any indirect, incidental, special, consequential, or punitive damages arising out of or related to the Services.

•       Loss of profits, revenue, data, business opportunities, or goodwill.

•       Damages resulting from AI errors, hallucinations, or inaccurate outputs.

•       Downtime, failures, or data loss caused by third-party platforms used in service delivery.

•       Unauthorised access to or alteration of your data by third parties.

In no event shall Beyond Zenith's total aggregate liability to any Client exceed the total fees paid by that Client in the three (3) months immediately preceding the event giving rise to the claim.

10. Confidentiality

Both parties agree to keep confidential any proprietary, sensitive, or non-public information shared during the course of the engagement. Beyond Zenith will not disclose Client business information to third parties without prior written consent, except as required by law.

This obligation of confidentiality shall survive the termination of these Terms for a period of two (2) years.

11. Beyond Zenith's Rights

Beyond Zenith reserves the right to:

•       Modify, update, or discontinue any Service at any time, with or without notice.

•       Suspend or terminate access to Services for any Client found in breach of these Terms.

•       Amend these Terms at any time. Updated Terms will be posted on beyondzenith.tech with a revised effective date. Continued use of Services constitutes acceptance of the updated Terms.

•       Subcontract or delegate any portion of the Services to qualified third parties, while remaining responsible for overall delivery.

•       Showcase completed client work in our portfolio, case studies, or marketing materials, unless the Client expressly requests otherwise in writing.

12. Termination

12.1 Termination by Client

Clients may terminate an engagement by providing written notice as specified in the applicable SOW. Termination does not entitle the Client to any refund of fees already paid.

12.2 Termination by Beyond Zenith

Beyond Zenith may terminate or suspend Services immediately, without liability, if:

•       The Client breaches any provision of these Terms.

•       The Client fails to make payment when due.

•       Continued provision of Services would expose Beyond Zenith to legal, reputational, or regulatory risk.

12.3 Effect of Termination

Upon termination, all licences granted under these Terms shall immediately cease. Each party shall return or destroy confidential information of the other party. Provisions that by their nature should survive termination — including intellectual property, payment obligations, limitation of liability, and confidentiality — shall survive.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Karnataka, India, without regard to its conflict of law provisions.

Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute is not resolved within thirty (30) days of written notice, it shall be submitted to the competent courts located in Bengaluru, Karnataka, India, which shall have exclusive jurisdiction.

14. Privacy

Beyond Zenith is committed to protecting your privacy. Our collection and use of personal data is governed by our Privacy Policy, available at beyondzenith.tech/privacy-policy. By using our Services, you consent to the collection and use of your data as described therein.

15. Force Majeure

Beyond Zenith shall not be liable for any delay or failure to perform its obligations under these Terms if such delay or failure results from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, pandemics, government restrictions, or failures of third-party infrastructure or AI platforms.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable.

17. Entire Agreement

These Terms, together with any applicable SOW, Service Agreement, or Proposal, constitute the entire agreement between Beyond Zenith and the Client with respect to the subject matter hereof, and supersede all prior agreements, representations, and understandings, whether written or oral.
